服务条款（Terms of Service） Last Updated: June 28, 2026 欢迎使用 VertexIP（以下简称"平台"、"我们"或"VertexIP"）提供的代理网络及相关服务。 访问或使用本平台，即表示您已阅读、理解并同意遵守本《服务条款》。如果您不同意本条款，请不要使用本平台。 1. 服务说明 VertexIP 提供全球网络代理连接服务，包括但不限于： 动态住宅代理（Residential Proxy） 静态住宅代理（Static Residential Proxy） ISP Proxy 数据中心代理（Datacenter Proxy） API 接口服务 IP 管理后台 平台仅提供网络连接能力，不参与用户数据内容，也不干涉用户业务。 2. 用户资格 使用本平台，您声明并保证： 已满18周岁； 有合法使用代理服务的资格； 不违反所在地法律法规； 不受任何制裁名单限制。 我们有权拒绝向任何个人或组织提供服务。 3. 合法使用 用户必须合法使用本平台提供的代理资源。 禁止用于包括但不限于： 网络攻击（DDoS） 非法扫描 入侵服务器 木马传播 勒索软件 网络诈骗 钓鱼网站 恶意广告 垃圾邮件（Spam） 非法数据窃取 身份盗窃 未经授权访问任何系统 洗钱相关活动 赌博违法业务 儿童剥削内容 侵犯知识产权 违反当地法律法规的行为 用户应自行承担其业务行为产生的一切责任。 4. 合规要求 用户应遵守： 所在国家法律 数据保护法规 网络安全法规 第三方平台使用协议 包括但不限于： GDPR CCPA UK GDPR 其他适用法规 5. 用户账户 用户应： 妥善保管账户信息； 对账户行为承担全部责任； 不得共享账户； 不得出售账号； 不得恶意注册多个账户。 若发现异常行为，我们有权暂停或终止账户。 6. 支付与退款 所有费用均按照官网公布价格收取。 除法律另有规定外： 已消耗流量不可退款； 已开通套餐不可按比例退款； 因用户自身原因造成无法使用，不作为退款依据。 如因平台重大故障导致长期无法提供服务，我们将根据实际情况进行补偿。 7. 服务可用性 我们努力保持： 高可用网络 全球节点覆盖 稳定连接 但不保证： 100% 在线率； 所有目标网站均可访问； 所有 IP 永久可用。 代理资源可能因： ISP 调整 网络运营商策略 第三方限制 全球网络波动 发生变化。 8. IP资源说明 平台提供的 IP 来源包括： 合法住宅网络 ISP 网络 数据中心网络 IP 地址具有动态变化特性。 我们不保证： 固定 IP 永久存在； 某个国家库存长期不变； 某一 ASN 永远可用。 9. API 使用 用户调用 API 时： 应遵守接口频率限制； 不得恶意刷接口； 不得影响平台稳定性。 如发生异常调用： 平台可限制或暂停 API 权限。 10. 服务暂停 如发现以下情况： 违法使用； 滥用资源； 威胁平台安全； 拒绝支付费用； 恶意攻击平台； 我们可： 暂停账户； 终止服务； 删除账户； 配合执法机关依法处理。 无需提前通知。 11. 隐私保护 我们重视用户隐私。 具体内容请参考： Privacy Policy 12. 日志政策 平台仅保留保障服务运行所必需的系统日志，包括： 登录记录 流量统计 错误日志 支付记录 我们不会主动分析用户业务内容。 13. 第三方服务 平台可能集成第三方服务，例如： 支付平台 云服务 API 服务 CDN 第三方服务受其自身条款约束。 14. 知识产权 网站所有内容，包括： Logo 商标 页面设计 软件 文档 均属于 VertexIP 或授权方所有。 未经许可不得复制、传播或商业使用。 15. 免责声明 平台按"现状（AS IS）"提供服务。 对于以下情况，我们不承担责任： 用户业务损失； 第三方封号； 网站封禁； 网络波动； 数据丢失； 收益损失； 间接损失； 不可抗力。 16. 责任限制 在法律允许范围内： 平台承担的最高赔偿金额，不超过用户最近一次支付给平台的服务费用。 17. 终止服务 用户可随时停止使用。 平台也可因： 违反条款； 法律要求； 风险控制； 终止提供服务。 18. 条款修改 我们有权随时修改本条款。 新版发布后继续使用平台，即视为接受修改后的条款。 19. 联系方式 如有任何问题，请联系： Email support@vertexip.cn 20. 适用法律 本条款受平台运营主体所在地法律管辖。 如发生争议，应优先协商解决；协商不成时，由具有管辖权的法院或仲裁机构依法处理。

Welcome to the proxy network and related services provided by VertexIP ("Platform", "we", or "VertexIP").
By accessing or using the Platform, you confirm that you have read, understood, and agree to comply with these Terms of Service. If you do not agree to these terms, please do not use the Platform.
1. Service Description
VertexIP provides global proxy network connectivity services, including but not limited to:
Dynamic Residential Proxies
Static Residential Proxies
ISP Proxies
Datacenter Proxies
API services
IP management dashboard
The Platform only provides network connectivity capabilities. We do not participate in user data content and do not interfere with users' business activities.
2. User Eligibility
By using the Platform, you represent and warrant that:
You are at least 18 years old;
You are legally qualified to use proxy services;
Your use does not violate the laws or regulations of your jurisdiction;
You are not subject to any sanctions list restrictions.
We reserve the right to refuse service to any individual or organization.
3. Lawful Use
Users must use the proxy resources provided by the Platform lawfully.
Prohibited uses include, but are not limited to:
DDoS attacks
Illegal scanning
Server intrusion
Trojan distribution
Ransomware
Cyber fraud
Phishing sites
Malicious advertising
Spam
Illegal data theft
Identity theft
Unauthorized access to any system
Money-laundering-related activities
Illegal gambling
Child exploitation content
Intellectual property infringement
Any activity that violates local laws or regulations
Users are solely responsible for all liabilities arising from their business activities.
4. Compliance Requirements
Users must comply with:
Laws of their country or region
Data protection regulations
Cybersecurity regulations
Third-party platform terms of use
Including, but not limited to:
GDPR
CCPA
UK GDPR
Other applicable regulations
5. User Accounts
Users must:
Properly safeguard account information;
Be fully responsible for all account activities;
Not share accounts;
Promptly notify us of any abnormal account activity.
6. Payments and Refunds
Users must pay service fees according to the selected plan or order. Unless otherwise required by applicable law or expressly agreed by VertexIP, paid fees are non-refundable after resources have been activated or consumed.
7. Service Availability
VertexIP strives to maintain service stability and availability, but does not guarantee that services will be uninterrupted, error-free, or permanently available. Maintenance, network issues, third-party failures, force majeure, or abuse-prevention measures may affect service availability.
8. IP Resource Description
Proxy resources may vary due to network status, region availability, carrier conditions, third-party resource conditions, and compliance reviews. VertexIP does not guarantee that any specific IP, region, carrier, speed, or success rate will remain permanently available.
9. API Use
Users must use APIs in accordance with documentation, rate limits, authentication requirements, and security rules. Users may not abuse APIs, bypass limits, interfere with service stability, or attempt unauthorized access.
10. Service Suspension
VertexIP may suspend, restrict, or terminate services if a user violates these Terms, triggers risk controls, engages in abnormal traffic behavior, fails identity or usage verification, infringes third-party rights, or creates legal, security, or compliance risks.
11. Privacy Protection
VertexIP values user privacy. Our collection, use, storage, and protection of information are described in the Privacy Policy.
12. Log Policy
For service quality, security, troubleshooting, abuse prevention, and legal compliance, VertexIP may retain necessary technical logs such as login records, API request timestamps, authentication status, traffic usage, and error logs.
13. Third-Party Services
The Platform may contain links to or integrations with third-party services. VertexIP is not responsible for third-party content, policies, availability, or behavior.
14. Intellectual Property
All trademarks, logos, platform design, software, documentation, interface elements, and related materials of VertexIP are owned by VertexIP or its licensors. Users may not copy, modify, distribute, reverse engineer, or use them without authorization.
15. Disclaimer
Services are provided on an "as is" and "as available" basis. VertexIP disclaims warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of Liability
To the fullest extent permitted by law, VertexIP shall not be liable for indirect, incidental, special, consequential, punitive damages, loss of profits, loss of data, service interruption, business interruption, or third-party claims arising from service use.
17. Termination
Users may stop using the services at any time. VertexIP may terminate or restrict accounts and services in accordance with these Terms and applicable policies.
18. Changes to Terms
VertexIP may update these Terms from time to time. Updated terms will be published on the website with a revised "Last Updated" date. Continued use of the services indicates acceptance of the updated terms.
